Due Diligence

A key component of any M&A transaction is due diligence. Sellers are looking to put their best foot forward in order to maximize the offer price a buyer would be willing to pay. A buyer is looking for any buried "skeletons" that will allow it to reduce the price or in the worst case, force them to walk away from the deal entirely.

Although a key component of due diligence from the buy side is an assessment of the acquisition risk surrounding the target, it is imperative that one also considers the strengths and opportunities surrounding the investment. If the consultant performing due diligence focuses only on the risks, it will be impossible for him to uncover items that may enhance the target's value to the buyer. In addition to experience, an open mind is a pre-requisite to performing high quality, value added due diligence.
